本文构建了一个小股东、控制股东和经理人之间的双层委托代理理论分析框架来分析我国上市公司中同时存在的两类代理问题:股东与经理人的利益冲突以及控制股东与小股东的利益冲突。在此基础上着重研究了控制股东掏空行为与公司股权结构及公司价值之间的关系。通过分析指出:(1)均衡状态下,公司的所有权集中程度由公司股东所受投资者法律保护程度决定。随着投资者法律保护程度的增加,小股东最优的投资数量也会增加,公司的所有权结构趋于更加分散。(2)在公司的现金流所有权结构确定的情况下,由股东和经理人之间的信息非对称性引起的股东和经理人之间的利益冲突会减少公司价值,使得控制股东和小股东的利益均受到损害。控制股东掏空资产收益的比例随着其自身现金流所有权的增加而减少,随着其控制权和所有权之间的分离程度而增加,随着投资者法律保护的增加而减少。(3)相对于公司中仅仅存在股东和经理人之间的利益冲突的情形,控制股东的掏空行为会进一步降低公司的价值,而且降低的程度会随着控制股东的控制权和所有权的分离程度的增加而增加。(4)当控制股东完全不能进行掏空时,即使小股东仍然面临由于公司中的第Ⅰ类代理问题引起的利益损害,但均衡时,由于控制股东和小股东之间不存在利...  相似文献

This paper explores the mechanism of guanxi and how it affects firm performance from a constructive perspective. It aims to contribute to the extant literature by investigating the negative side of guanxi and expounding on how guanxi functions, adversely impacting firm performance. Specifically, as guanxi grows, its negative effect leads to erosion of firm performance. Further, interorganizational trust and relationship-specific investment, as two potential mediators, can enhance and amplify the eroding effect of guanxi on firm performance.  相似文献

This study examines whether ownership and control variables influence market valuation at the time of the initial public offering (IPO). Using a sample of 118 IPOs on Euronext Amsterdam during the period 1984-2001, we find support for this conjecture. Management stock ownership, the proportion of independent supervisory directors, and board monitoring by large nonmanagement hareholders are positively related to IPO firm value. These factors are successful in reducing agency costs. We also find that supermajority management stock ownership and takeover defenses lower IPO firm value. Therefore, these mechanisms increase agency costs, resulting in a lower price that investors are willing to pay for IPO shares.  相似文献

本文基于合约安排的视角对企业治理进行了研究.主要通过激励合约设计.分析代理人剩余分享系数、努力变量、激励变量、努力成本和激励成本等变量之间的相互关系及其经济意义,从而得出了一些主要的基本结论:第一,委托人设计的激励合约具有一定的状态依存性。第二,委托人的监管效率是合约设计的重要因素,且监管本身具有概率性。第三,委托人要关注边际业绩分享系数的作用,进而必须关注“剩余标的”本身的选择。第四,一旦委托人也对产出做出自己的贡献,代理人的风险中立性就不能保证带来最优的结果。第五,委托人“先行一步”的优势是激励合约效率最大化的重要因素。  相似文献

We explore the role of interfirm alliances as a mechanism for sharing technological knowledge. We argue that knowledge flows between alliance partners will be greater than flows between pairs of nonallied firms, and less than flows between units within single firms. Using patent citations as a proxy for knowledge flows, we find results that are consistent with these expectations. We then explore how firm characteristics affect knowledge flows within alliances and find positive effects due to technological, geographic, and business similarities between partners. We use alliance data from MERIT, patent data from the USPTO, and firm data from Compustat.  相似文献

This study examines the value of voluntary and mandatory disclosure in a market that applies International Accounting Standards (IAS) with limited penalties for non compliance. The lack of enforcement creates an element of choice in the level of mandatory disclosure by companies. Using panel-data analysis, our empirical results show that, after controlling for factors such as asset size and profitability, mandatory disclosure has a highly significant but negative relationship with firm value. This result, although puzzling from a traditional perspective, is consistent with the predictions of analytical accounting models, which emphasize the complex interplay of factors determining disclosure effects. Our results also show that voluntary disclosure has a positive but insignificant association with firm value. This lack of statistical significance supports the view that there is a complex interplay of different factors determining the relationship between disclosure and firm value.  相似文献

Abstract Empirical documentation of the sectoral distribution of firm size for a set of European countries reveals substantial differences. We study the relationship between productivity growth at the industry level and size structure. A positive and robust relation is found between average firm size and growth. We ask why size should matter for growth by considering the role of innovation to construct a test based on the differential effect of size on growth according to various indicators of R&D intensity. Our results indicate that larger size fosters productivity growth because it allows firms to take advantage of all the increasing returns associated with R&D. We argue that our test can be interpreted as a test of reverse causality, which lends support to the view that firm size has a causal impact on growth.  相似文献

By deriving a formal model of industry R & D that identifies factors influencing industry R & D intensity, this paper first suggests firm density, defined as the inverse of average firm sales or simply the number of firms divided by industry sales, as a measure of market structure that is appropriate in explaining industry R & D intensity. The model shows that the cost structure of R & D, consumer preference over quality and price, the appropriability of R & D, firm density, and the average level of firm R & D intensity jointly determine industry R & D intensity. In particular, firm density has a positive relationship with industry R & D intensity, implying that firms in higher firm-density industries feel fiercer competitive pressure and thus engage more intensively in R & D. An empirical analysis of panel data on industry R & D activities of Korean manufacturing industries during the period 1991–1996 provides supportive evidence for the predictions of the model including the positive relationship between firm density and industry R & D intensity. The theoretical model and the empirical results are also consistent with the recent survey of U.S. corporate R & D activities by the U.S. Department of Commerce and the National Science Foundation (1999).  相似文献

One of the fundamental objectives of corporate governance is to promote a climate that fosters ethical decision-making. As transitioning economies move toward more transparent and democratic systems the existence of policies, such as codes of ethics, that attempt to monitor and control moral behavior will become increasingly important. The establishment of ethical standards not only encourages trust with potential trade partners but also is likely to cultivate foreign direct investment. In this study, data collected from 112 U.S. and 74 Russian respondents reveal some intriguing patterns across these two diverse economies.
